In 2024, ISA ENERGIA BRASIL was responsible for the development of the first project using FACTS technology, Smart Valves type, in the national electric system. This technology, unprecedented in Brazil, brings greater flexibility and stability to the transmission system by redirecting energy flow from overloaded circuits to more idle ones. In the same year, it also energized the Minuano project.

Between 2022 and 2023, ISA ENERGIA BRASIL won five lots in the transmission auction, holding 35 concession contracts, with the longest expiring in September 2053. The 19 lots won by the Company in auctions from 2016 to 2023 have an ANEEL investment of R$17.1 billion in the national electric system.

Also in 2023, ISA ENERGIA BRASIL partially energized two projects: IE Itaúnas and IR Triângulo Mineiro.

In 2022, five projects won in ANEEL auctions were energized, adding 1,210 km of lines. IE Biguaçu is a unique project in Brazil, being the only one to include transmission lines with overhead, submarine, and underground sections.

In 2022, the Company inaugurated the country’s first large-scale battery energy storage bank. Installed at the Registro Substation in the state of São Paulo, it ensured additional energy to meet the growing demand on the São Paulo coast. Furthermore, it avoided the emission of more than 1,000 metric tons of carbon that would have occurred if, instead of this innovation, diesel generators had been installed.

In 2021, two projects won in ANEEL’s transmission auctions were energized: IE Aguapeí and the Lorena Substation. It is noteworthy that the Lorena Substation represents a step forward in the digitalization of the Electric Sector, as it is the first digital substation of the SIN. Another historic milestone of innovation for the company and the sector was the approval by ANEEL of the first large-scale battery energy storage project in the Brazilian transmission system. Also in 2021, the PBTE acquisition was completed.

In 2021, the Ministry of Finance of Colombia announced the signing of the inter-administrative agreement for the purchase and sale with Ecopetrol S.A. to acquire 51.4% of the shares held by the government in ISA, the controlling shareholder of ISA Capital do Brasil, which is the direct controlling shareholder of ISA ENERGIA BRASIL.

In 2020, the Company continued its growth with the announcement of the acquisition of PBTE (Piratininga Bandeirantes Transmissora de Energia), which connects two substations of ISA ENERGIA BRASIL, with an acquisition price of R$1,594,000,000. In addition, in the same year, it celebrated the achievement of another lot in the December auction.

On April 4, 2019, the General Meeting approved the proposal to split all of the Company’s shares in the proportion of 1 common share to 4 common shares and 1 preferred share to 4 preferred shares. The split did not alter the Company’s share capital, which remains at R$3.6 billion.
In 2019, three other lots were won at the transmission auction held in December.

Continuing its expansion strategy, in 2018, the Company acquired from Cymi Holdings (“CYMI”) 50% minus one share of the total share capital of Interligação Elétrica Sul S.A. (“IESUL”) for R$20.1 million, thus holding 100% of IESUL’s share capital. In June 2018, the Company also won two lots in ANEEL’s transmission auction No. 02/2018.

The Company won five more lots, one in partnership with TAESA, in the transmission auction held in April 2017. The ANEEL investment, adjusted for ISA ENERGIA BRASIL’s participation in the lots, is R$2,228,290,000.

On May 30, 2017, ANEEL Order No. 1,484/17 was issued, recognizing the total value of assets at R$4,094 million, as of December 31, 2012. The initial impact of RBSE was recognized in the third quarter of 2016, and the additional value recognized by ANEEL was recorded during the second quarter of 2017.

The year 2017 also marked the completion of the acquisition of 100% of the shares of Interligação Elétrica Norte e Nordeste (“IENNE”), with 50% of the shares acquired from Isolux Energia e Participações S.A. (“ISOLUX”) and 25% acquired from Cymi Holdings (“CYMI”), for R$101.1 million, as well as successful participation in transmission auctions held by ANEEL.

On April 20, 2016, Ordinance No. 120 of the Ministry of Mines and Energy (MME) was issued, determining that the amounts ratified by ANEEL through Order No. 4,036/2015, related to SE facilities, would be included in the Regulatory Remuneration Base of electric power transmission concessionaires from the 2017 tariff process, for an estimated period of 8 years.

On October 6, 2016, ANEEL issued Technical Note No. 336/2016, presenting a regulatory proposal as provided for in Ordinance No. 120 of the MME. As a result of the related Public Hearing, Technical Note No. 23/2017 was issued, regulating the methodology for the calculation of the cost of capital and the calculation of RAP to be added corresponding to the value of SE facilities, and determining payment values and terms for concessionaires. The Company won three lots, two in partnership with TAESA, in the transmission auction held in October 2016. The ANEEL investment, adjusted for ISA ENERGIA BRASIL’s participation in the lots, is R$723.175 million.

In 2015, the receipt of indemnity installments for facilities energized as of June 1, 2000, known as Rede Básica – Novas Instalações (“RBNI”), was completed.

In December 2012, ISA ENERGIA BRASIL concluded the acquisition of its subsidiary Evrecy, which belonged to EDP Energias do Brasil S.A (“EDP”). Evrecy is a service provider in electric power transmission, originating from the split of generation and transmission assets of Espírito Santo Centrais Elétricas. Part of the concession contract expires on July 17, 2025.

In September 2012, Provisional Measure No. 579 (“MP 579”) was published, regulating the extension of concessions under Law No. 9,074 of 1995, stating that, under MP 579, generation, transmission, and distribution concessions, expired or expiring within 60 months from its publication, could be extended at the granting authority’s discretion, once, for up to 30 years. However, for transmission activities, such extension depended on express acceptance, among others, of the following conditions: (i) revenue set according to criteria established by ANEEL; and (ii) compliance with service quality standards set by ANEEL. In October 2011, the Company, in partnership with CHESF, established IE Garanhuns to operate the concession of transmission lines and substations won in Lot L of Auction No. 004/2011 by ANEEL.

The Company established its subsidiary Serra do Japi on July 1, 2009, to operate the concession of the Jandira and Salto substations won in Lot I of Auction No. 001/2009 by ANEEL. In 2012, Serra do Japi began its commercial operation.
2008

On February 11, 2008, the Company’s Board of Directors approved a corporate restructuring, ratified by shareholders at an Extraordinary General Meeting held on February 28, 2008, aiming to improve the Company’s capitalization and cash flow by taking advantage of a tax benefit of R$232 million, relating to the goodwill paid by ISA Capital do Brasil S.A. in the process of acquiring the controlling interest.

From 2008 onwards, the Company advanced the consolidation of its participation in the Brazilian electricity sector by participating in auctions held by ANEEL, winning lots of transmission assets.

In July 2008, the Company established IE Pinheiros to operate the concession of transmission lines and substations won in Lots E, H, and K of Auction No. 004/2008 and Lot K of Auction No. 004/2011 by ANEEL.

In December 2008, the Company, in partnership with Furnas and CHESF, established IE Madeira to operate the concession of transmission lines and substations won in Lots D and F of Auction No. 007/2008 by ANEEL. This project is part of the Madeira River hydroelectric complex and its transmission system was designed and implemented with direct current technology, used to transmit large amounts of power over long distances.

In January 2007, ISA Capital do Brasil S.A. acquired, through a public tender offer at B3, 24,572,554,070 common shares of the Company, corresponding to 39.3% of this class of shares. As a result, ISA Capital do Brasil S.A. came to hold 89.4% of the voting capital and 37.5% of the Company’s total capital.

In November 2007, the Company participated in a public auction held by the Brazilian Electricity Regulatory Agency (“ANEEL”) and won the transmission concession connecting the states of Tocantins, Maranhão, and Piauí, with 720 kilometers of lines and investments of R$533.6 million.

In a privatization auction held in 2006 at BM&FBOVESPA S.A. – Securities, Commodities and Futures Exchange (now B3 S.A. – Brasil, Bolsa, Balcão), the State Government of São Paulo, the majority shareholder, sold 31,341,890,064 common shares, corresponding to 50.1% of the Company’s common shares. The winning bidder was Interconexión Eléctrica S.A.E.S.P (“ISA”), which thus became the direct controlling shareholder of the Company.

On September 12, 2006, ISA Capital do Brasil S.A. acquired an additional 10,021,687 common shares of the Company, held by the State of São Paulo, reaching 31,351,911,751 common shares, corresponding to 50.1% of this class of shares.
2001

In June 2001, it incorporated Empresa Paulista de Transmissão de Energia Elétrica S.A. (“EPTE”), originating from the partial split of Eletropaulo - Eletricidade de São Paulo S.A. In the same year, the Company and the Federal Government signed the Electric Power Transmission Concession Agreement No. 059/01, including the main transmission grid and additional facilities, which in the same year was extended for 30 years, lasting until 2042.

ISA ENERGIA BRASIL, a publicly traded company, was established on February 4, 1999, as a result of the partial split of Companhia Energética de São Paulo (“CESP”), which took place within the scope of the State Privatization Program, created by Law No. 9,361/96 of the state of São Paulo. The company began operating in electric power transmission as a concessionaire of public electric energy transmission services.
